Introduction
The Looped platform (brand managed by Valguani, hereinafter: "the Company") is an online platform for posting and viewing online classified ads for selling second-hand products and connecting sellers with buyers.
The use of the platform - through the website and/or mobile application (hereinafter together: "the Platform") - is subject to these terms of use (hereinafter: "the Terms" or "Terms of Use").
By entering the platform and using its services, you declare that you have read and understood the terms of the Terms and the privacy policy integrated therein, and that you agree to them without reservation. If you do not agree to any terms in the Terms, you must refrain from continuing to use the platform.
Minimum age: The use of Looped services is permitted only for adults (aged 18 and above) with legal capacity. The Company reserves the right to request proof of age or identity at any time of doubt. Minors under the age of 18 are not allowed to use the platform independently.
The Terms detail your rights and obligations when using Looped, and also include the privacy policy that describes our operations regarding personal information. It is recommended to carefully review these documents before using the platform.
1. Subject of the Terms
These Terms are intended to regulate the terms of access and use of the Looped platform and its related services, and to establish the rights and obligations of each party. These Terms constitute a binding agreement between the Company as the platform operator and the user (whether visitor, seller or buyer, as defined below).
Looped is an online classified ads platform that connects private or business sellers offering second-hand products with buyers interested in them. The platform offers, among other things, options for posting ads, a private messaging system, a secure online payment service (based on payment hold mechanism - "secure payment"), a shipping and delivery module, and a rating and feedback system on transactions.
Access to the platform is free of charge (beyond the cost of internet connection) for users. However, some special options or services may involve payment (for example, service fee for using secure payment or shipping services - see section 6.3 below). The pricing terms of such services, if and when they exist, will be detailed in the platform before purchase by the user.
2. Definitions
The Platform: All Looped online services (website and mobile application) operated by the Company, including ad posting areas, search tools, messaging system, integrated payment and shipping methods, etc.
The Company: Valguani company, owner and operator of the Looped platform.
User: Any person accessing the platform, whether as a browser viewing ads or as a registered member with a user account. User includes both advertisers/posters (users who post ads, including sellers) and potential or actual buyers.
User Account: A unique personal account that allows the user to identify themselves on the platform and access services that require registration (posting ads, using messages, making payments, etc.). Opening a user account is required to post an ad, sell or buy through Looped.
Seller: A user (private or licensed business) who posts an ad with the intention of offering a product for sale through the platform.
Buyer: A user who expresses interest in purchasing a product or actually purchases it through the platform.
Listing: Content published on the platform by a seller to offer a product for sale, including the product description, price, photos and other relevant details.
Product: An item, goods or service that is legal and permitted for trade under the law, offered for sale in a listing. The sale of products that are prohibited for sale by law (such as drugs, unauthorized weapons, stolen property, protected species, etc.) or contrary to platform rules is strictly prohibited.
Messaging System (Chat): A private communication service built into the platform, allowing sellers and buyers to correspond directly within Looped. These conversations are accessible only to chat participants, subject to the company's rights as detailed in the terms.
Secure Payment: An online payment service offered on the platform, based on a payment hold mechanism. The buyer pays the product price through a regulated payment service; the funds are held on-hold by the bank under Looped's supervision until the buyer confirms that the product was received as described, and then released to the seller according to the procedure. Looped manages and supervises the payment hold process throughout the transaction, ensuring protection for both buyers and sellers.
3. Platform Access and User Accounts
3.1 Account Creation
To sell, post an ad, use secure payment or other advanced features, you must first create a personal user account. The registration process requires providing accurate and complete information, including full name, active email address and mobile phone number, and creating a secure password. Upon registration, the user undertakes to provide only accurate, complete and up-to-date details associated with them. Opening an account and activity in it is subject to the user meeting the requirements of the regulations.
3.2 Login Security
When creating an account, you must choose a strong password and keep it confidential. The responsibility to keep your username and password secure and prevent unauthorized use of your account rests with you alone. Do not share login details with others, and in case of concern about disclosure or misuse of the password, you must change it immediately and update the company.
3.3 Account Information Accuracy
The user undertakes to update their account details without delay in case of any change. It is forbidden to impersonate another person or entity or use false details. The company reserves the right to suspend or close an account containing false or misleading information.
3.4 Access and Usage Terms
The company may prevent registration or block user access to the platform at its discretion if the user does not meet the terms of the regulation or legal requirements. Use of the platform will be done in good faith, for the legitimate purposes for which it was intended, and in accordance with all laws.
3.5 Account Suspension and Closure
The user may request at any time the suspension of their account or its deletion, by contacting Looped customer support. Upon account closure, access to your personal information on the platform will be terminated, and all your active ads will be deactivated.
4. Platform Services
Looped offers a variety of functions designed to facilitate direct transactions between private individuals (and also, in some cases, between business sellers and consumers) in a secure and convenient environment.
Ad Publishing: Sellers may publish ads on the platform to offer products for sale. Publishing a basic ad is free for private users. Each ad includes a title, detailed description of the product, suggested price, photos, general location area and other relevant details. The seller must describe the product accurately and reliably.
Search and Viewing: Any user can browse the platform, search for ads using keywords or filtering by categories, location, price range, etc.
Private Messaging System: The platform includes an internal messaging system, allowing potential buyers to contact the seller directly from within the ad, and chat privately and securely without publicly exposing personal contact details.
Secure Payment: A secure online payment system, allowing the buyer to pay for the product through the platform with full protection. This service is operated by an external and authorized payment provider, with Looped supervising the payment hold process.
Shipping Module: The platform offers an optional service for handling shipping, to transfer the product from the seller to the buyer. Through collaborations with shipping and logistics companies, the seller can generate a shipping label and deliver the package.
Rating and Feedback System: After completing each transaction, the platform invites both parties to rate each other and leave a review. The reputation system includes a rating and an optional textual review, which will be displayed on the profile of the rated user.
5. Listing Publication Rules
This section defines the rules and prohibitions regarding the content of ads that the seller publishes on the platform:
Prohibited and Restricted Products: There is an absolute prohibition on publishing for sale on the platform products that are not legal or that are prohibited in commerce. Examples include: drugs, firearms, illegal content, animals whose trade is prohibited, stolen items, items that violate copyrights, and more. The company may remove immediately any ad offering an item prohibited for sale.
Accurate and Reliable Description: The seller must describe the product in the ad accurately, completely, and honestly. Do not mislead buyers about the product's condition. Photos attached to the ad must reflect the actual product offered.
Offensive or Inappropriate Content: The ad content must be appropriate and not include offensive, crude, or defamatory language. There is an explicit prohibition on publishing violent, pornographic, racist, or illegal content.
Category and Topic Relevance: The seller must publish the ad in the appropriate category for the product type. One ad should relate to one product or set of products.
Intellectual Property Rights and Ad Content: The seller must ensure that they own all rights to any content they upload in the ad, or have received permission from the rights holders.
Content Monitoring and Removal: The company reserves the right to refuse to publish or remove any ad that it believes violates the terms of service or the law.
6. Transactions Between Users and Payments
Using Secure Payment: In cases where the service is available, the platform provides users with a secure payment system. When the buyer pays through secure payment, the transaction amount is held by the bank pending transaction validation. After payment completion, the seller will receive confirmation, and they must send the product to the buyer within the agreed time. Once the buyer receives the product and confirms, Looped will instruct the payment provider to release the held funds.
Transactions Without Using Secure Payment: If secure payment is not available or the parties choose not to use it, the transaction is carried out at the sole responsibility and risk of the parties. The company strongly recommends using secure payment, but the final choice is up to the users.
Fees and Service Charges: Registration to the platform and publishing basic ads are free for private users. Using certain services may involve payment, as detailed on the platform.
Product Shipping: If the buyer and seller agree to ship the product, they are recommended to use the platform's integrated shipping system.
Receipt Confirmation and Payment Release: After the buyer has received the shipped product, they must confirm on the platform that the product was received and according to the description provided.
Right to Cancel Transaction and Disputes: Cancellation rights depend on the status of the parties and the cause. Consumer protection laws apply to business-consumer transactions.
Legal Warranty on Products: The seller is responsible for ensuring that the sold product will be in good condition and free of hidden defects that were not disclosed to the buyer.
7. Using the Messaging System
The integrated private messaging system is designed to enable secure and respectful communication between sellers and buyers.
Politeness and Respect: Maintain polite and respectful conversation. Absolute prohibition on sending offensive or harassing messages.
Relevance: Use the chat mainly for discussing the product and transaction details.
Safety and Privacy: Do not provide sensitive personal information in the first contact.
8. Rating and Review System
After completing a transaction, each party is invited to give a rating and write a review about the other party.
Good Faith: You must rate honestly and according to the actual transaction experience.
Objectivity: The review should focus on transaction aspects - product condition, communication, shipping speed.
9. User Duties and Obligations
9.1 Compliance with Law and Agreement: The user will use the platform and its services only for lawful purposes, and will not perform through it any action that violates the laws of the State of Israel.
9.2 Correct Details and Identity: The user declares that all information they provide is true, accurate and up-to-date.
9.3 Prohibition of Platform Misuse: The user will not perform any action that may harm the platform, its systems, its users or the company.
9.4 Illegal Content: The user will not upload, publish or send through the platform any content that violates the law.
9.5 Cooperation with the Company: The user undertakes to cooperate reasonably with the company if there is suspicion of violation.
10. Company Liability as Host
10.1 Company Status as Content Host: The company is legally considered an internet service provider serving as a "hosting party" for content, and not as a content editor.
10.2 Notice and Takedown Procedure: If you believe that any content on the platform violates the law, you can report it to the company. The platform offers built-in reporting tools, and you can also contact us in writing.
10.3 Limitation of Company Liability for Content and Transactions: Although the company invests efforts to maintain a safe platform, it does not bear comprehensive responsibility for content published by users.
11. Intellectual Property Rights
11.1 Platform Components Owned by the Company: The Looped platform is protected under intellectual property laws. The company owns or has licenses for all rights to the trademark, logo, source code, database, and all texts and images created or provided by the company.
11.2 Content Provided by Users: Content that users upload remains owned by the users. The user uploading content declares that they own all necessary rights to this content.
11.3 Looped Trademarks: The brand and trademarks of Looped may not be used without explicit prior written permission from the company.
11.4 Third Party Content: Some elements displayed on the platform may come from third parties under their ownership.
12. Changes to Terms of Service
The company reserves the right to update or change the terms of service at any time. In case of a material change, notice will be given on the platform. The change will take effect within a reasonable time from its publication and will apply from then onwards.
13. Law and Jurisdiction
13.1 Applicable Law: These terms of service and everything arising from or related to them are governed solely by the laws of the State of Israel.
13.2 Inquiries and Complaints: In case of a dispute, question or dissatisfaction, contact our customer service at sacha@looped.re
13.3 Consumer Dispute Resolution: If you are a consumer who purchased from a business seller through the platform, and after contacting customer service no solution was found, you can exercise any right or remedy available to you under law.
13.4 Jurisdiction: Exclusive jurisdiction is given to the competent courts in the Tel Aviv-Jaffa district, Israel.
13.5 Severability: If any section in these terms of service is found to be illegal, void or unenforceable, the remaining sections will remain in full force.
